(Self-Acceptance -- Zuhouz / Bare Shell Pvt Ltd)
This Non-Disclosure and Confidentiality Agreement ("Agreement") is deemed to be accepted electronically and legally binding upon any person ("User", "Employee", "Associate", "Consultant", or "Contractor") who accesses, registers on, uses, works with, or provides services to Bare Shell Pvt Ltd (Zuhouz) through its website, platform, systems, projects, or operations.
By accessing, using, registering, or engaging with Zuhouz in any manner, you confirm that you have read, understood, and agreed to be bound by this Agreement, without the requirement of any physical or digital signature.
This Agreement shall constitute a valid electronic contract under the Information Technology Act, 2000 and applicable laws of India.

"Confidential Information" includes all business, financial, operational, technical, strategic, proprietary, client-related, and other information disclosed in any form, whether oral, written, electronic, digital, tangible, or intangible.

All Confidential Information shall be marked "Confidential" where possible. Oral confidential communications shall be confirmed in writing within ten (10) days.

Confidentiality obligations shall not apply to information that:

Disclosure may be made if required by law or court order, subject to prior notice to Zuhouz where permitted.

Upon termination, resignation, disengagement, or request by Zuhouz, the User shall, within two (2) days:

Written confirmation of destruction or return shall be provided upon request.

These obligations survive termination.
25.1 All Confidential Information is provided "as is" without warranty.
25.2 Zuhouz shall not be liable for decisions made based on such information.
25.3 Disclosure does not constitute any contractual offer.
26.1 All intellectual property, data, materials, and proprietary rights remain the exclusive property of Zuhouz.
26.2 The User shall not use Zuhouz branding, name, projects, or materials for personal promotion, marketing, or portfolio without written consent.
26.3 The User shall not publish, display, or promote any project-related work without authorization.
27.1 Confidentiality obligations shall remain in force during engagement and for five (5) years after termination or disengagement.

The User agrees that for twenty-four (24) months after termination, they shall not engage in competing businesses relating to:

28.2 The User shall not solicit or recruit Zuhouz employees.
28.3 The User shall not solicit or deal with Zuhouz clients using acquired information.
This Agreement shall be governed by the laws of India. Courts of New Delhi shall have exclusive jurisdiction.
If any provision is held invalid, remaining provisions shall remain enforceable.
This Agreement forms part of the Terms of Service and supersedes prior confidentiality arrangements.
No rights or obligations may be assigned without written consent of Zuhouz.
